Mitch Liu runs Theta Labs, and the exit that made his name is quoted everywhere at 400 million dollars while ironSource's own SEC filing reports 391,252 thousand. He signed his first Form D as chief executive on 11 October 2017, under a company name almost nobody remembers.
The precedent sits in his own paperwork. Liu signed a Form D for SLIVER VR Technologies on 28 March 2017 as president. The same three people refiled twice more that year under two different company names. By 16 January 2018 the entity called Theta Labs had reported 29,144,762 dollars sold on one offering.

Who Is Mitch Liu
Mitch Liu is the chief executive of Theta Labs and the public face of a video and edge-computing chain whose token trades as THETA. Most readers meet him through a byline on a trade publication, not through a company page. That's because how the Theta Network works is documented far better than the people who built it.
The paperwork tells it more precisely. On 11 October 2017 he signed a Form D for StreamCoin Labs and reported 1,915,000 dollars sold against a 7,000,000 dollar offering. Seven weeks later the same corporate file carried the name Theta Labs.
Page one for his name is Crunchbase, LinkedIn and an author page at an AI trade title. Theta's own website publishes no team biographies at all, and the about page at thetalabs.org redirects to the token site. That is a lot of coverage for a founder with no primary biography anywhere.
How Did Mitch Liu Build Theta Labs
Step one: he shipped a consumer product before he shipped a chain. SLIVER VR Technologies sold 15,969,864 dollars of securities on a Form D signed 28 March 2017. Liu signed that one as president, from 20410 Town Center Lane in Cupertino.
Step two: he renamed the vehicle without changing the file. The same corporate record first reached the SEC on 11 October 2017 as StreamCoin Labs. By the amendment of 30 November 2017 it already carried the Theta Labs name against an offering of 8,262,900 dollars.
Step three: he raised once and raised hard. The January 2018 amendment reports a single offering of 29,144,762 dollars with nothing remaining. The Theta Labs CEO signed four of those filings and the signature block reads Mitchell Liu, CEO. Rizwan Virk and Dovey Wan appear as directors on every version.
Step four: he filed the patents in pairs with Jieyi Long, the other Theta Network founder and his chief technology officer. Three granted US patents name Long first and Mitchell C. Liu second, and all three are assigned to Theta Labs. They issued on 16 March 2021, 19 September 2023 and 6 August 2024, and they cover incentivised data delivery and edge computing. The Theta Network glossary entry puts that machinery in plainer terms than the patent claims do.
The 391.25 Million Exit, Checked Against NOTE 4
The biography that runs under Mitch Liu's byline says he co-founded Tapjoy in 2007, and that ironSource acquired it for 400 million dollars. The round figure repeats on Crunchbase, on theOrg and in his own author bio.

ironSource closed the purchase in January 2022 and set out the arithmetic in NOTE 4 of its Form 6-K for the six months to 30 June 2022. Those interim statements are unaudited and the filing calls the purchase price allocation provisional. Both of those qualifiers matter before anyone treats 391,252 as a final audited total. It's still the only figure either company ever put on a page with line items under it. The 400 million version is the announced approximate price, and the 8,748 thousand dollar difference has survived four years of profile writing.
Why Mitch Liu's Record Matters Beyond Theta
For founders, the SEC file is the biography. Four Form D filings across ten months record two company names and one address, and none of it needed a press release to become public.
For investors, a headline acquisition price is a negotiating number released on the day. The consideration transferred is what the buyer's accountants wrote down afterwards, and the two differ by roughly two percent.
For traders, the same gap between an announced figure and a recorded one turns up in funding quotes and in fill prices, and knowing the difference between makers and takers is the version that costs you money on every order.
What THETA Traders Should Watch
THETA, the coin that pays for bandwidth and storage across the network, closed at 0.19010 dollars on Friday 11 September 2026 after a 12.42% session. Four dates and levels matter from here, and the 50-day and 200-day averagesdecide the first one.
-
No golden cross has printed on THETA. Computed on Phemex spot closes, the 50-day average sits 9.34% below the 200-day at the Friday 11 September 2026 close.
-
The coin ran 43.26% across the thirty sessions to that Friday close and only 9.32% across the last seven of them. The 12.42% Friday session carried a week that was otherwise down 2.8%.
-
In the 365-session window ending Friday 11 September 2026, the closing high is 0.87800 dated 13 September 2025. The closing low is 0.12350 dated 29 July 2026, which leaves THETA 78.35% below the high.
-
The FOMC meets on 15 and 16 September 2026 with a Summary of Economic Projections. It carries the August CPI print of plus 0.4% month over month, released on 11 September.
How to Trade the Trends Mitch Liu Represents
Via spot: Theta has no perpetual contract on Phemex. THETA-USDT on the spot book is the only direct route to the token, and it's the only one this page points you at. A spot position carries no funding payment and no liquidation price, which suits an asset trading 78.35% below its 365-session closing high.
Via futures: the edge-computing and AI-inference theme Theta Labs sells runs through assets that do carry perpetuals. Those come with leverage, funding every four or eight hours, and a liquidation level you set yourself. Sizing that properly is its own skill, and position sizing and stop placement matter more on a 43% thirty-session runner than on a flat one.
Frequently Asked Questions
Is Mitch Liu on Wikipedia, and does he own a personal domain?
Neither. A search on the name returns George Liu and Kopin Liu, who share only the surname, and thetatoken.org does not reach page one.
Who co-founded the Theta Network alongside Mitch Liu?
Jieyi Long, the chief technology officer. Theta's December 2017 Form D reported a first sale on 28 November 2017, placing 2,435,000 dollars against a 6,500,000 dollar offering.
Did Mitch Liu really sell Tapjoy for 400 million dollars?
His bios say so, and ironSource's accounts report 391,252 thousand. ironSource itself then filed to deregister its shares with the SEC on 17 November 2022.
What address do Theta Labs filings give?
They give 20410 Town Center Lane in Cupertino, California. SLIVER VR Technologies used Suite 270 in that same building in March 2017.
What can traders learn from Mitch Liu?
Open the filing underneath the headline number before you repeat it. The gap here is 2.2% of the deal, and it survived four years because the document went unread.
