Bitcoin mining company TeraWulf Inc. has announced a $3.2 billion issuance of 7.750% senior secured notes due 2030 through its subsidiary, WULF Compute LLC. The notes, priced at par, will be offered to qualified institutional investors via a private placement, with the closing expected on October 23, 2025, pending market conditions.
The proceeds from this offering will be used to fund the expansion of TeraWulf's data center at the Lake Mariner campus in Bucks, New York. The notes will be fully guaranteed by WULF Compute's subsidiaries, including La Lupa Data LLC, Akela Data Holdings LLC, and Akela Data LLC.
