The Smarter Web Company plans to issue perpetual preferred shares on the London Stock Exchange’s main market under the ticker MORE, targeting £15 million to £25 million in proceeds to increase its Bitcoin holdings. The offering will not proceed if subscriptions fall below £10 million and requires participation from at least three market makers.
The preferred shares will pay cumulative floating weekly dividends, carry liquidation preference and include a company redemption option, but will have no voting rights. SWC currently holds 2,878 BTC and has about £132.5 million in distributable reserves available for dividends after a High Court-approved £210 million reduction in share premium in July. Shareholders will vote on the proposal on September 28, with the prospectus still requiring FCA approval.
