Nakamoto, a Bitcoin treasury company, has announced the signing of a definitive merger agreement to acquire BTC Inc, a Bitcoin media and conference organization, and UTXO Management, an asset management firm focused on Bitcoin investments. The transaction, valued at approximately $107 million, is expected to close in the first quarter of 2026. The acquisition will be executed through a stock transaction, with BTC Inc and UTXO shareholders receiving a total of about 364 million shares of Nakamoto common stock.
