Shareholders of Churchill Capital XI have approved the business combination with humanoid robotics company Agility Robotics, with over 84% voting in favor. The transaction and associated financing are expected to provide Agility with approximately $465 million in gross capital, including roughly $164 million from the Churchill XI trust account, a $201 million common stock PIPE led by Foxconn, and $100 million in equity financing already received.
The merger is expected to close on November 4, 2026. The combined entity will operate as Agility Robotics, Inc., with its common shares and warrants scheduled to begin trading on Nasdaq under the tickers "AGLT" and "AGLTW" on November 5. Upon completion, Agility is projected to become the only publicly listed pure-play humanoid robotics company in the United States with validated, active commercial deployments.
