By using Copy Trade Services provided by Phemex Copy-Trading Platform (the "Service"), either directly or indirectly, you acknowledge that you have read, understood, and agreed to accept all terms of this Phemex Copy-Trading Service Agreement for Copier (the "Agreement") made and entered into by and between Phemex Limited ("we", "us", "our", "ours" or "Phemex") and you, including amendment(s) or update(s) made by Phemex Copy-Trading Platform ("Platform") from time to time. Please carefully review and fully comprehend the following provisions before use:

1. User Eligibility

1.1 You must be a qualified investor who meets all relevant legal and regulatory requirements with sufficient risk identification capabilities and risk tolerance to participate in this Service.

1.2 You confirm that you are at least eighteen (18) years of age with full legal capacity, sufficient knowledge and experience to understand the nature and associated risks of the product(s) you trade.

1.3 You warrant that all funds or digital assets deposited into your Phemex account are lawfully owned by you from legitimate sources, and you undertake that you will not utilise the Platform for any unlawful or non-compliant activities.

2. Service

2.1 Phemex provides Copy Trade Services with copy-trading features, enabling you to interact with, follow, and replicate trades of other Traders and strategies by using relevant information from Phemex. The Service furnishes detailed account information, trading history, risk profiles, and other Trader/strategy-related data that may assist you in deciding whether to replicate such Trader or strategies.

2.2 The Service includes a trading feature enabling you to follow and/or monitor other Trader' accounts. You may follow specific Phemex Trader's account(s). By placing a copy trading order, you authorise Phemex to automatically replicate the selected account's operations in your account without your prior consultation, consent, or approval. Phemex reserves the right to commence, cease, restrict, or expand the Service at its sole discretion. By placing a Copy Trading order, you consent to Phemex using your username and copy-trading statistics for marketing purposes.

2.3 You shall independently and prudently assess the authenticity, legality, and validity of virtual currencies such as Bitcoin or related trading information, and shall bear full responsibility and losses arising from such assessment(s).

2.4 Unless otherwise explicitly stipulated by laws and regulations, this Platform bears no obligation to conduct prior review of users' information data, trading activities, or other related matters.

3. Dispute Resolution and Legal Obligations

3.1 Should a trading dispute arise between you and another user when using the Service, and either or both parties jointly submit a request for mediation to us, we reserve the right to make a mediation decision based on our sole discretion. You agree to accept such mediation decision.

3.2 You acknowledge and agree that where required by laws, regulations, or government authorities (including judicial and administrative branches), we reserve the right to provide relevant officials with necessary information, such as your user details and transaction records when using the Service.

3.3 Should you be suspected of infringing upon another party's intellectual property rights or other lawful interests, we reserve the right to provide your necessary identity information to rights holders, regulatory bodies, or judicial authorities upon preliminary determination of the alleged infringement, in accordance with applicable laws.

4. Disclaimer

4.1 You acknowledge and agree that the Platform shall not be liable for any form of damages (including but not limited to loss of profits, goodwill, data, or other intangible losses), regardless of whether the Platform has been advised of the possibility of such damages, in any of the following circumstances:

• The Platform reasonably believes that a user or transaction is suspected of serious illegal activity or breach of contract;

• The Platform reasonably believes that your conduct on the Platform is suspected of being illegal or improper;

• The Platform suffers from any expense(s) or loss(es) arising from your purchase or acquisition of any data, information, or transactions conducted through this service;

• The Platform suffers from any loss(es) resulting from your misunderstanding of the Service;

• The Platform suffers from any loss(es) related to the Service caused by reasons beyond the Platform's control;

• The Platform suffers from any partial or total loss(es) incurred from your direct or indirect participation in copy trading.

4.2 You acknowledge and confirm that using the Service contains risks, including but not limited to:

• Operational risk of automated trading: your account may automatically execute opening or closing positions without manual intervention;

• Additional costs arising from transaction delays; and

• Copy trading failures.

4.3 You shall independently select investment management services and determine the Trader(s) and/or trading strategy(ies) to follow. You confirm that prior to making such decisions, you have fully considered your financial circumstances and risk tolerance, and understand that copy trading contains extremely high risks, which may result in losses far exceeding the amount allocated for copying.

4.4 The one-click copy trading service and related information provided by the Platform are for reference only and do not constitute investment advice. Should you make investment decisions based on information provided by the Platform, you shall bear the corresponding risks independently.

4.5 You shall independently evaluate and make investment decisions, determining whether relevant investment products and strategies align with your investment objectives and personal financial circumstances.

4.6 You shall bear full responsibility for any loss(es) incurred through automated trading operations by using the Service.

4.7 The Trader activities and information services provided by the Platform are intended for reference purposes only and do not constitute investment advice of any kind. You must independently conduct research(es) with information obtained from the Platform and make your own investment decisions.

5. Miscellaneous

5.1 The Platform reserves the right to the final interpretation of this Agreement as applicable by law.
