
Fred Thiel has been chief executive of MARA Holdings since 26 April 2021, and the employment agreement he signed that day is still the only one MARA files for him. The company changed its name, its business description and its scale over those years, and the contract did not change.
The precedent is the document itself. It set a $500,000 base salary in 2021, an initial three-year term and automatic one-year renewals, and MARA's 2026 proxy reports $18,022,335 of total compensation for that same year. Thiel chairs the board too, and company revenue over the stretch to 2025 climbed from $159.2 million to $907.1 million.

Who Is Fred Thiel and What Does He Run at MARA?
Thiel is a career technology executive who took over a bitcoin miner and then rebuilt what the company calls itself. MARA's management page credits him with more than 35 years in the sector and names two earlier chief executive posts, at Local Corporation and at Lantronix. He also chairs Oden Technologies, an industrial analytics firm, outside the MARA job.
The MARA Holdings CEO also runs the room that governs him. His board carries seven members, and he's the only executive among them. MARA's bio names no degree, no graduation year and no age for him, and the 2021 filing that hired him carries none of those either. So neither does this page.

Why MARA Still Files Fred Thiel's 2021 Employment Agreement
The 8-K MARA filed on 30 April 2021 runs the whole appointment in one item. Thiel became chief executive effective 26 April 2021, with Merrick Okamoto staying on as executive chairman, and the company signed an Executive Employment Agreement with him the same day.
The terms read quickly. Base salary came in at $500,000, with bonuses left to the board's discretion. Any restricted stock units vest in four equal amounts, on the grant date and the three following quarterly anniversaries. A termination without cause vests the rest immediately.
The exhibit index is where that shows. The annual report filed on 2 March 2026 lists the agreement as exhibit 10.12 and dates it 26 April 2021. Newer agreements stand beside it for the finance chief and the general counsel, both signed in 2023. The 2026 proxy statement reports his 2025 base salary at $978,500. His total for the year came to $27,053,236, so Fred Thiel's salary has roughly doubled since 2021 while the reported total runs about 28 times the base. The 2021 agreement caps neither the bonus nor the equity, and it handed both to the board.
The bonus has a published yardstick. MARA paid him $2,201,625 in cash for 2025 at 100% of target, and the proxy names the main performance goal as the company's Hashrate Hours metric. That measures mining output, and our explainer on how bitcoin mining works covers what a hashrate hour counts.
What Fred Thiel Changed at MARA Holdings
The name went first. On 29 August 2024 the company filed an amendment to its articles with the Nevada Secretary of State, turning Marathon Digital Holdings into MARA Holdings with immediate effect.
The self-description went next. MARA's annual report for 2025 opens its business section with a sentence that never says mining. "MARA is an energy and digital infrastructure company." Bitcoin mining arrives in the following line, described as a flexible workload that monetises spare power. Thiel does not appear anywhere in that section, so the framing belongs to the company and not to him personally.
The scale behind that sentence carries dates. At 31 December 2025 MARA ran about 490,000 mining rigs at roughly 66.4 exahashes per second across 18 data centres on four continents. Revenue for the year came to $907.1 million in the company's own filing data, and capacity is moving toward AI and high-performance computing. Then there is the coin pile. MARA held 53,822 bitcoin at 31 December 2025, a 20% increase over the year, and 15,315 of those coins were out on loan or pledged as collateral. What Does Fred Thiel Say About Bitcoin Mining?
Thiel took the case to Washington on 16 July 2025. MARA published his remarks to the first Hill Nation Summit, where he told the room that "Bitcoin miners are unlike traditional energy consumers." The sentence after it is the one the whole business leans on. "They are flexible, they are interruptible, and they are location-agnostic."
That is the entire pitch for a flexible load. A miner can power down inside seconds when the grid wants the electricity back, which no smelter or customer-facing data hall can promise. Fred Thiel has repeated that bitcoin mining argument in front of policymakers. MARA's 2025 bonus plan paid out on hashrate hours, so the rhetoric and the incentive point the same way.
What MARA Futures Did on 18 September 2026
MARAUSDT closed at 13.27 on Friday 18 September 2026, up 14.20% from 11.62 the session before. That was the sixth-largest one-session gain among the 118 Phemex perpetuals carrying an 18 September bar, on a day when 90 of those 118 closed higher.
The series is young and thin. Phemex listed the contract on 31 August 2026, so 19 daily bars exist and neither a 50-day nor a 200-day average can be computed from them. Four of those bars fall on a weekend when the underlying stock does not trade, and they averaged $6,383 of turnover against $42,025 across the 15 weekday bars. The 13.27 print is the highest close in those 19 bars, ahead of 11.98 on 11 September, and it is a 19-bar high and nothing more. Friday 18 September was also quarterly triple witching in US equities, which pushes volume around without saying anything about the company.
